TO THE FULLEST EXTENT PERMITTED BY LAW, AYIT CREATIVITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or free of viruses. We make no warranty regarding the accuracy or reliability of any output from our tools.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AYIT CREATIVITY LLC, ITS MEMBERS, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED FIFTY US DOLLARS ($50.00).

9. Governing Law and Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

9.2 Informal Resolution

Before initiating formal dispute proceedings, you agree to first contact us at contact@ayitcreativity.com and attempt in good faith to resolve the dispute informally. We will attempt to do the same.

9.3 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of our Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek emergency injunctive relief from a court of competent jurisdiction. The arbitration shall be conducted in Riverside County, California, or remotely. The arbitrator's decision shall be final and binding.

You and AYIT Creativity LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

9.4 Venue for Non-Arbitrable Claims

To the extent any claim is not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in Riverside County, California.

10. SMS Notification Service

10.1 Scope

AYIT Creativity LLC operates a private toll-free SMS notification service at (844) 646-1238 (the "SMS Service") for internal operational use only. The SMS Service is restricted to an allow-list of explicitly enrolled recipients (currently the LLC owner and his spouse) and is not available to the general public. There is no public signup. Full program details and the verbatim verbal consent script are published at /sms.

10.2 Consent

Enrollment requires explicit verbal consent collected in a live in-person or telephone conversation between the LLC owner and the prospective recipient, using the verbatim script published at /sms. Consent is logged with the recipient's name, phone number, timestamp, the exact script read, and the affirmative response.

10.3 Message Content and Frequency

Messages are limited to operational notifications: scheduled reminders, deployment and uptime alerts for AYIT Creativity LLC software properties, two-factor authentication codes, and operational coordination. No marketing or promotional content is sent on this number. Typical volume is under 50 messages per recipient per month, with a system-wide cap of 100 messages per month.

10.4 Costs and Carrier

Standard message and data rates may apply per your mobile carrier plan. Carriers are not liable for delayed or undelivered messages. Twilio Inc. is the carrier of record. Phone numbers and message content are processed by Twilio per its Privacy Policy.

10.5 Opt-out and HELP

Reply STOP to (844) 646-1238 to immediately opt out — STOP is processed automatically, the number is removed from the allow-list, and a single confirmation message is delivered. Reply HELP for support information. Re-enrollment after opt-out requires a new verbal consent.

10.6 No Warranty on Delivery

The SMS Service is provided "as is." We do not warrant message delivery, timeliness, or accuracy and are not liable for delayed, failed, or undelivered messages.

10.7 No Sharing

We do not sell, rent, lease, share, or transfer phone numbers, message content, or consent records to any third party for marketing or any other purpose. Mobile information and opt-in consent are not shared with third parties or affiliates for promotional or marketing purposes.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AYIT Creativity LLC regarding your use of our Services and supersede all prior agreements, representations, and understandings.
